1. Agreement to Terms
By accessing or using Resubly ("Service"), operated by Resubly ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. Description of Service
Resubly is a SaaS renewal management and contract tracking platform designed for Finance, Procurement, and Operations teams. The Service enables users to track SaaS subscription renewals, manage contract lifecycles, receive renewal deadline alerts, forecast costs, allocate chargebacks, and manage vendor onboarding workflows.
3. Account Registration
To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
4. Acceptable Use
You agree not to use the Service for any unlawful purpose, upload malicious files, attempt unauthorized access, reverse-engineer any part of the Service, store content that infringes third-party rights, or interfere with the integrity or performance of the Service.
5. Your Data
You retain all rights to the data you upload to the Service, including contracts, vendor information, documents, and organizational data. You grant us a limited license to host, process, and display your data solely to provide the Service. We do not sell your data to third parties. We use AI-powered document processing to extract contract details from uploaded PDFs, performed solely to provide the Service.
6. Notifications and Alerts
The Service provides renewal deadline alerts via email, Slack, and Microsoft Teams integrations. While we strive for accuracy and timely delivery, we do not guarantee that all notifications will be delivered or that renewal dates extracted from documents will be error-free. You are responsible for independently verifying critical renewal deadlines.
7. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
8. Fees and Payment
Certain features of the Service may require a paid subscription. Fees, billing cycles, and payment terms will be communicated at the time of purchase. We reserve the right to change pricing with reasonable notice. Failure to pay may result in suspension or termination of your account.
9. Intellectual Property
The Service, including its design, code, features, and documentation, is owned by Resubly and protected by intellectual property laws. These terms do not grant you any rights to our trademarks, logos, or branding. Your data remains yours as described in Section 5.
10. Limitation of Liability
To the maximum extent permitted by law, Resubly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim. Resubly is a management and tracking tool and is not responsible for missed renewal deadlines, auto-renewals, or financial losses resulting from contract management decisions.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI-extracted contract data will be complete or error-free.
12. Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your access if you violate these terms or if we discontinue the Service. Upon termination, you may request an export of your data within 30 days. After that period, we may delete your data in accordance with our data retention practices.
13. Changes to Terms
We may update these terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised terms.
14. Governing Law
These terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these terms or the Service shall be resolved through good faith negotiation before pursuing formal proceedings.
